  • What is excluded from confidential treatment – This refers to information that is already known by the public and the recipient. This type of information can be excluded from confidential treatment.
  • Agreement term – Nobody wants to be part of a nondisclosure agreement forever, especially if you are the receiving party. The duration of the agreement must be reasonable before you agree to it. Also, some confidential information may not have any value in the future, so there seems to be no point in having it forever.

What to Consider Before Signing a Nondisclosure Agreement

Whether you’re the receiving party or the disclosing party, you shouldn’t be so excited and so quick in signing a nondisclosure agreement or just about any agreement. Regardless if it’s a verbal agreement or a written agreement, it’s still legally binding just like a contract. So consider the following before jumping into a final decision of signing a nondisclosure agreement.

Step #1: Read and understand the entire agreement

But it pays to read the entire document so that you won’t miss any detail and determine that you understand and agree to everything on it.

Remember the key elements provided above? Well, you should check if they are all included in the nondisclosure agreement you are about to sign. If you notice one key element missing, then the agreement is not complete and may be missing other essential details.

Step #3: Learn of all the clauses

You should not miss any of the clauses provided in the agreement. Each clause discusses a specific provision or section in a contract. They can’t be ignored and should not be ignored.

Step #4: Breach of contract

We want to prevent any breach of contract as much as possibe, but we must also be prepared when it happens. Look for remedies for contract breaches in the agreement document. Check if it’s favorabe for both parties, especially if you are both receiving and sharing confidential information.
