Coming Up with a Sponsorship Agreement

There are two common types of sponsorship agreements: Corporate sponsorship agreements and fiscal sponsorship agreements. In this section, we would like to give you a step-by-step guide on how you can come up with both types of sponsorship agreements. You may also see sample project development agreements.

1. Corporate Sponsorship Agreement

Corporate sponsorship is basically a marketing strategy wherein an organization or company opts to financially support charity drives, sports event, or other public events in the hopes that their sponsorship attracts more potential clients or customers. Basically, corporate sponsorship happens when a company wants to increase brand awareness or ensure that their brand becomes more visible.

For these situations, the company and the agency asking for the sponsorship come up with a sponsorship agreement that outlines the terms and conditions that both parties have agreed upon. If you are looking to come up with a corporate sponsorship agreement, here is a step-by-step guide on how you can come up with one. You may also like sample investment agreements.

  • Identify the Parties and the Effective Date of the Agreement. Make sure that you include the full name of the parties involved. For this type of agreement, it will usually be the legal name of the business and the name of the organization asking for the sponsorship. The contact information of each party should also be included (complete address, email address, and contact number). You may also check out sample contract termination agreements.
  • Purpose of the Agreement. Basically, every agreement has a goal or purpose. What you are aiming for should be included in the agreement. Typically, the organization asking for the sponsorship states the purpose of the sponsorship in a corporate sponsorship letter that they would usually send when looking for potential sponsors.
  • Rights, Duties, and Responsibilities.
    • Corporate sponsors. You need to be able to describe the rights, duties, and responsibilities of the corporate sponsor. More often than not, the corporate sponsor will provide a specific amount of money or will provide deals amounting to the same amount of money in exchange for being able to advertise and/or sell the products during the event. • Nonprofit organization. The organization asking for the sponsorship promise to use the money or x-deal given through corporate sponsorship or through free advertising.
  • Exclusivity for Use of Intellectual Property. If there are trademarks and logos that will be used for the event, correct usage should be properly stated in the agreement. The products and goods that can be used should also be defined.
  • Warranty and Indemnity. Provisions regarding indemnity and warranty should be spelled out in the agreement as well. The agreement should entail that the corporate sponsor should fulfill the obligations that have been spelled out for the company. The simple agreement should also spell out that the corporate sponsor will reimburse losses or claims that are due to the acts of the sponsor or its representatives.
  • Necessary Provisions. Basic provisions that are applicable to all types of contracts and agreements should be included in the agreement as well. Make sure that you check out your state laws in order to make sure that these provisions are applicable to the agreement that you are entering. You may also see sample payment agreements.
  • Make Sure to Sign the Agreement. Once the agreement has been signed by the parties involved, this means that everyone has a good understanding of everything that has been outlined in the agreement.

2. Fiscal Sponsorship Agreement

A fiscal sponsorship occurs when a nonprofit organization offers their services to other groups in order to have a common platform for groups that have the same goal. This ensures that efficiency is increased and success is going to be high. You may also like sample vendor contract agreements.

Typically, a fiscal sponsorship agreement happens between an established nonprofit organization and a small group of people who have the same goals as the established nonprofit organization.

  • Identify Who is Involved and the Effective Date of the Agreement. As with any other type of contract or agreement, a fiscal sponsorship agreement starts out by naming the organizations involved (the nonprofit organization and the group being sponsored) and the effective date of the agreement. This will also describe what the relationship of the people in charge of the project is. You may also check out professional services agreement templates to download.
  • The Project and its Goals. You have to make sure that the project and its goals are outlined in the agreement as it is important that the project organizers and the nonprofit organization have a good understanding of what will be achieved by the project.
  • Role, Duties, and Responsibilities.
    • A description of the sponsor’s (nonprofit organization) role, as well as the duties and responsibilities that the sponsor has to the organizers, should be clearly outlined in the agreement.
    • A description about the project organizer’s role, duties, and responsibilities should also be stated in the agreement. This will include details about fundraising, new events, and accounting for the activities that will come along while the project is still ongoing. You might be interested in sample employment separation agreements.
  • Usage of Intellectual Property. If you have trademarks and patents that you will allow the project organizers to use, you have to make sure that you will be able to clearly outline this in the agreement as well. You may even opt to attach such patents and trademarks or give them an instruction on how they can get their hands on the trademark or patent. You may also see sample commission agreements.
  • Warranty and Indemnity. Warranty provisions, as well as indemnity provisions, should also be included in the agreement to ensure it is clear for both parties involved who will be liable should there be losses or claims.
  • Miscellaneous Provisions. Standard provisions applicable to the current agreement situation you are involved in should be clearly stated in the agreement as well.
  • Affix the Signatures. One representative from each party should sign the agreement as a means of making the agreement legally binding and enforceable. You may also like home purchase agreement samples.
