Forbes reported on July 5, 2018, that the famous rapper, Cardi B, cited a 15 million US dollars breach of contract countersuit against Shaft(Klenord Raphael). Previously, Shaft sued the star for an unfair compensation after building the name of the artist, who responded by citing the countersuit. According to Cardi B, she complied with the contract she signed with WorldStar Marketing Group, Shaft’s management agency. She added that Shaft robbed her by making side deals. Thus, the management should compensate her for the loss. This case is just one of the controversial breach of contract cases that people have filed for specific reasons. However, take note that breach of contract cases can also extend to the consultant contract agreements. How so? Read further to know more about it.

How Serious is Consultant Agreement

There are things that organizations or individuals don’t execute because they are not knowledgeable enough to do so. What they do is they enter into a consulting service agreement and let the consultants do the job for them. However, in some cases, one party cannot do his or her part of the contract. As a result, the other party may file a lawsuit to get compensated for the damage the failure causes. These cases can cause unnecessary expenses for organizations or individuals. Additionally, it may hurt the reputation that they have built over time.

What is a Consultant Agreement

A Consultant Agreement is a type of agreement that binds a consultant to render its expertise for an organization or individual following the terms they have agreed on. Additionally, the contract may also include the client’s part of the deal, such as a statement providing the necessary information that will help the consultant to do its tasks. Typically, this type of agreement includes the complete name of the consultant and the individual or organization that seeks the consultant’s services. It may also include both parties’ office addresses, effectivity date and duration, and terms, such as contract termination agreement, acceptance agreement, insurance agreement, intellectual property rights agreement, payments contract, and confidentiality agreement. However, you should know that you can also make an agreement that is not contractual. Meaning, it does not legally bind you and the client. We call this type of arrangement as gentlemen’s agreement.

Tips for Making a Solid Consultant Contract Agreement

As a business leader, you have to make sure that you have covered every area of your business because even the slightest vulnerability may potentially become a significant threat to your business. Despite its potential benefits, dealing with external consultants, such as independent contractors, can hurt your business in many ways if problems arise. Thus, it is crucial to check and analyze each contract agreement you sign thoroughly. Keep the following best practices of making a substantial consultant contract agreement.

1. Write Everything Down

Verbal agreements are legal. The thing is these arrangements can be hard to bring to the court, especially to the gentlemen’s agreement. If you are doing business, you need to account for every transaction you perform on behalf of the company to avoid further issues. It does not exempt the consultant agreement that you enter. Therefore, you have to write down all the necessary clauses of the arrangements to ensure that you will not be helpless if things don’t go according to the plan.

2. Make it Simple

Unlike typical legal documents, you can write a consultant contract agreement in a way that the readers will easily understand. You can do it by using simple words and short sentences. You can also include bullets if you are going to specify the number of items.

3. Name All the Parties Involved

If you are dealing with an established company, it should have a legal name. Thus, it should not be hard to find the legal names of the organizations involved in the agreement. By doing so, if things go south, you can quickly point them out and get the necessary claims. Make sure to include the company’s suffix(Inc, LLC, etc.), though.

4. Make It Complete

We have mentioned earlier that you should keep your contract simple, but it does not mean that you have to avoid making it longer if necessary. To avoid misunderstandings, double-check all the details you include in the contract and make sure that it accounts for every angle. Write down all the responsibilities of each party in a detailed way. Remember, what you don’t write doesn’t happen. We recommend you to use the examples that we included in this article. You can also check our independent contractor templates and master service agreements. These documents can help you determine the necessary things that you have to include in your contract.

5. Look for the Right Person to Deal with

When you approach an external consulting firm, there are chances that they will refer you to the wrong person. For example, you are approaching a junior who also supervise the activities in the company. This individual may lead the team, but a different person takes charge of the agreements to business-to-business transactions. Therefore, you have to identify the right person to deal with in terms of contracts.

Whether you are the consultant or the client, adhering to the contract that you have agreed is a crucial thing in running your business. It will keep your relationship with the other party in the contract sound. Additionally, it will allow your company to build and maintain its reputation. Nonetheless, for some reason, adhering to a contract that does not work can bring you more bad than good. Therefore, before you sign a contract, analyze its details. Take note of the items that seem not fair and bring it up during your meeting.
