1. Introduction of Parties

The first part of the contract is where you identify all the parties involved in the contract. Write down the complete names of every party including their other personal information. Identify which party is the supplier and which party is the buyer. Write in the date on which the contract is effective in this section as well.

2. Agreement of Sale

This part of the contract is where you will state the terms of the supplier providing supplies to sell to the buyer such as the products that they will sell, the quantity and measurement of the products, the time when the buyer purchases the products, and the time when the supplies are delivered to the buyer.

3. Warranty and Cancellation

This section is where you discuss the warranty and limitation of remedies and disclaimer terms. This is also where you discuss the cancellation notice and terms when either party cancels a certain business transaction due to various reasons.

 

4. Delivery Details

This section is where you discuss how the delivery of products is arranged. Designated a certain time, date, and place that the supplier delivers the products to the buyer.

5. Pricing and Payment Terms

Include the price list of every product being supplied to the buyer in this section. The price list should include all taxes and fees involved in the sale transaction. Don’t forget to include your payment terms such as specifying how the invoice will be sent to the buyer and how they will pay for the supplies and additional services.

6. Additional Terms

Other important terms should be included in the contract such as:

  • Termination: Explain what certain actions or events will cause the contract to breach or to end effectively.
  • Force Majeure: This clause is what excuses any or both of the parties from completing their obligation in the contract due to some unforeseeable events or situations that may take place. Events such as natural disasters, strikes, wars, terrorism, etc. are examples of force majeure events. State how the parties will address these events when they occur.
  • Indemnification:  This provision gives responsibilities to both parties just in case problems arise in the future and protects each party from any financial consequences of the other’s illegal or harmful activities.

8. Signature Lines

Conclude your contract by providing signature lines for both parties to put their signatures and write down the date of when the contract is signed which will signify the validity of the legal binding of the contract.
